Terms of Service

These terms govern your use of SnapStocked. Please read them carefully — by creating an account or using the platform, you agree to them.
Plain-language summary: SnapStocked provides the software that runs your online store, distributor sync, and SNAP/EBT checkout. Retailers run their own business — you keep your own licenses and SNAP authorization, you're paid directly through your own payment account, and you're responsible for what you sell. This summary is for convenience; the terms below control.
1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and [SnapStocked legal entity] ("SnapStocked," "we," "us"). By accessing or using the platform, marketing site, or any storefront we host, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.
2. The service
SnapStocked is a commerce platform that gives independent food retailers a branded online store, distributor integration over EDI, and online SNAP/EBT checkout. We provide the software and hosting; we are not a grocer, a distributor, a bank, or a payment processor, and we are not a party to the sale between a retailer and its customers.
3. Accounts and eligibility
You must provide accurate information, keep your credentials secure, and be responsible for activity under your account. You must be able to form a binding contract to use the service. Store staff accounts may only be used by authorized personnel of the retailer.
4. Retailer responsibilities
If you use SnapStocked to operate a store, you are responsible for:
- Holding all licenses, permits, and authorizations your business requires — including your own USDA FNS online-SNAP authorization if you accept SNAP.
- Being the merchant of record for your sales, including through your own connected payment account (see Payments below).
- The accuracy of your catalog, pricing, weights, availability, tax settings, and SNAP-eligibility designations.
- Fulfilling orders, honoring your posted prices, and handling customer service, returns, and refunds for your store.
- Complying with all laws applicable to your business, including food-safety, weights-and-measures, tax, and SNAP program rules.
5. Payments, fees, and settlement
Card payments are processed through Stripe. Each retailer transacts on its own Stripe connected account and settles funds directly; SnapStocked does not hold retailer funds. Platform fees, if any, are as agreed in your order form or plan. You authorize applicable platform fees to be collected in connection with transactions as described there. You are responsible for chargebacks, refunds, and disputes arising from your sales.
6. SNAP / EBT
SnapStocked provides checkout functionality designed to meet USDA FNS online-purchasing requirements, including SNAP-eligibility handling and split-tender, with EBT processed through Forage, an FNS-authorized processor. Accepting SNAP online requires the retailer's own valid FNS online-SNAP authorization. You are responsible for maintaining that authorization and complying with all SNAP program rules; SnapStocked does not grant, and cannot substitute for, FNS authorization.
7. Acceptable use
You agree not to:
- Use the service unlawfully or to sell items you are not authorized to sell.
- Misrepresent SNAP eligibility, pricing, or product information.
- Interfere with, probe, or attempt to breach the platform's security or other tenants' data.
- Reverse engineer, resell, or copy the platform except as permitted by law.
- Upload malware or infringing, deceptive, or unlawful content.
8. Distributor and third-party integrations
The platform exchanges standard EDI documents with distributors and integrates third-party services (such as Stripe, Forage, and email providers). Your use of those services may be subject to their own terms, and their availability is outside our control. We are not responsible for a distributor's or third party's acts, omissions, data, or pricing.
9. Intellectual property
SnapStocked and its software, design, and trademarks are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the platform during your subscription. You retain ownership of your own content (your catalog, brand, and store data); you grant us the rights needed to host and operate your store and provide the service.
10. Customer data and privacy
Our handling of personal information is described in the Privacy Policy. Retailers are responsible for their own privacy obligations to their customers and for any notices or consents their business requires.
11. Disclaimers
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will meet every legal or program requirement applicable to your specific business — you are responsible for confirming compliance for your operation.
12. Limitation of liability
To the maximum extent permitted by law, SnapStocked will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amounts you paid us for the service in the twelve months before the event giving rise to the claim.
13. Indemnification
You will defend, indemnify, and hold harmless SnapStocked from claims, losses, and expenses arising out of your store, your products, your use of the service, your violation of these Terms, or your violation of any law or program rule (including SNAP).
14. Term and termination
These Terms apply while you use the service. You may stop using the service at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or fail to pay fees. On termination, your right to use the platform ends; provisions that by their nature should survive (such as payment, disclaimers, and limitation of liability) will survive.
15. Changes
We may modify the service or these Terms. For material changes to the Terms, we will update the "Last updated" date and provide notice where appropriate. Continued use after changes take effect means you accept the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws of [State/Country], without regard to conflict-of-laws rules. The state and federal courts located in [jurisdiction] will have exclusive jurisdiction over disputes, unless applicable law provides otherwise.
